Business platform agreement · Version 2026-10-26.1
Rooted Platform Agreement
Version 2026-10-26.1. Effective October 26, 2026 for a person or business that accepts this version.
1. The parties and this agreement
Rooted is operated by Aymen Norain, an individual based in Massachusetts, United States, using the name Rooted. In this agreement, “Rooted,” “we” and “us” mean Aymen Norain in that capacity. Rooted is not represented here as an incorporated company. Our contact for support, legal notices, privacy requests and listing corrections is an.rooted@proton.me.
This agreement governs business use of Rooted’s producer and market organizer website, accounts, listing management, claim and participation tools, and related services we actually make available. “You” means the business identified during setup and the person acting for it. By expressly accepting, you confirm that you are at least 18, have legal capacity, and have authority to commit that business to this agreement. If you operate as an individual, you accept for yourself. A person claiming to represent a separate business confirms their authority; that confirmation does not by itself make them personally responsible for every obligation of that business.
Read this agreement before accepting. Your affirmative acceptance of the identified version, business selection and authority confirmation form the agreement. Browsing a public listing or importing a listing does not constitute a business’s acceptance. A future incorporated Rooted business will not replace the present contracting party merely because its name appears on a website; section 19 governs any transfer.
2. What Rooted provides
Rooted helps people discover markets, producers, public visit locations, general product offerings, events and ways to buy directly from independent businesses. Some records originate from reviewed public sources; others are maintained by authorized businesses. Directory inclusion is not an endorsement, a guarantee of quality, a regulatory inspection, a certification, or proof of management authority.
Rooted supplies discovery and management technology. It does not become the seller, manufacturer, food handler, delivery carrier, market organizer, landlord, employer, agent or insurer of a listed business merely by displaying its information. A link to an external shop or CSA programme does not make Rooted a party to that purchase. This version does not establish a Rooted checkout, escrow, product warranty, fulfillment undertaking or physical-goods payment service. Any future service that changes those responsibilities requires separate clear terms and implementation.
A business’s contract with its customer or market remains separate. Neither this agreement nor a listing removes responsibilities that the law places on Rooted for its own conduct.
3. Accounts, access and business claims
Provide accurate account, business and authority information, complete required email verification, protect your sign-in credentials and promptly report suspected compromise. Use the access assigned to you; do not share an administrator account to evade role restrictions. Business administrators must keep their authorized team current and remove access when a person’s authority ends.
A public listing, matching name, email domain, claimed address, source association or successful email verification does not automatically grant business management rights. Rooted may request proportionate evidence of authority, ask follow-up questions, reject a claim or pause access while competing claims are investigated. Submit only evidence you may lawfully provide, and avoid unnecessary personal or financial information. We do not promise that every claim will be approved or decided within a fixed period.
Do not claim another business, transfer credentials, submit fabricated documents, impersonate a representative or use access after authorization is revoked. If a business changes owner or representatives, contact us for a reviewed transition. Creating another account does not transfer a listing, reset a trial or defeat a restriction. Claim review concerns authority to manage the specific listing; it is not verification of every statement, product, permit or professional qualification.
4. Accurate and actionable public information
Publish information you have reasonable grounds to believe is accurate and permitted. Maintain your business identity, public contact details, offerings, official links, served areas, customer access, schedules, seasons and exceptions. Correct material mistakes promptly, including closures, relocation, canceled events, unavailable buying methods and lost legal authority to operate. Do not present general product categories as confirmed current inventory.
Do not publish a private home, farm, pickup location or precise coordinates as an unrestricted public visit destination without authority and a genuine customer-facing purpose. Appointment-only, preorder-only, seasonal and closed locations must be described accordingly. Separate public opening hours from staffed-service hours, and do not claim year-round access without a factual basis. Confirm addresses and instructions before directing customers to them.
Do not invent attendance, endorsement, market membership, geographic service coverage, product stock or certification. Maintain evidence for material advertising claims, including health, environmental, origin and production-practice claims. Use regulated terms only when legally justified. A Rooted status or badge describes only the particular check stated with it; do not market it as a broader safety or quality guarantee.
We may normalize categories, correct formatting, reconcile duplicates, request confirmation, suppress stale buying options, or remove unsafe or unsupported information. Report a disputed edit through support. An ownership claim does not entitle a person to erase accurate independently sourced facts, legitimate complaints or legally required records; Rooted will assess the facts and applicable rights.
5. Producer responsibilities
You are responsible for your products and business operations, including lawful production and sale, applicable permits and inspections, taxes, labeling, ingredients, allergens, weights, packaging, storage, transport, age restrictions, recalls and customer instructions. Determine which federal, state and local rules apply to your products and sales methods, including cottage foods, meat, eggs, dairy, raw or unpasteurized products and interstate shipping. A category or publication control is not permission to sell a restricted product.
Explain the material terms of your own sales, CSA shares, deposits, pickup, delivery, cancellations and refunds before a customer commits. Do not promise availability or delivery you cannot reasonably provide. Resolve product and fulfillment issues with your customers and comply with their legal rights; calling a payment a CSA contribution or nonrefundable deposit does not eliminate those rights.
Notify affected customers and appropriate authorities when required for an unsafe product or recall, and notify Rooted promptly if displayed information needs urgent correction. Do not use Rooted to conceal a recall, falsify a safety claim or discourage a lawful complaint. Rooted does not provide emergency response or medical advice; use emergency services when appropriate.
6. Market organizer and event responsibilities
Publish or administer only the organizations, markets and events you are authorized to manage. Confirm permission for each venue and the accuracy of dates, time zones, public access, hours, seasons, cancellations, capacity and participation requirements. Obtain permits, insurance and safety arrangements required for your own operations. Do not identify a producer as an authorized participant merely because a public source mentions the producer or the producer hosts an event.
If you publish participation agreements, you are responsible for their legality, accurate contracting parties, complete terms, applicable fees and clear notice. Rooted records the workflow and the version a participant affirmatively accepts; it does not supply your legal advice, act as your agent, guarantee enforceability, or independently guarantee a signer’s business authority. Retain the receipts and operational records your business needs.
A listing, invitation, code, signature or application grants only the rights explicitly confirmed by the relevant authorized process. Accepting market terms does not alone create attendance, a permit, an invitation acceptance, payment, insurance or Rooted administrator rights. Resolve commercial participation disputes with the relevant business; report account misuse or record inaccuracies to Rooted.
7. Content ownership and permission
You keep the rights you already hold in your names, logos, photographs, descriptions and other submitted material. You confirm that you have the permissions needed to submit it and that publication will not infringe another person’s copyright, trademark, privacy, publicity or contractual rights. Do not upload materials that you obtained through unauthorized access or confidentiality breaches.
For material you designate as public, you grant Rooted a nonexclusive, worldwide permission, without a separate royalty, to host, reproduce, display, distribute, technically adapt and format it as reasonably necessary to operate and promote the particular Rooted listing and service. Our infrastructure providers may exercise that permission only for providing those services to us. This does not transfer ownership, authorize unrelated resale of your media, imply your endorsement of unrelated products, or permit an unrelated AI training use.
For private drafts, claim evidence and contact details, permission is limited to operating the requested private workflow, security, support, legal compliance and dispute records. They are not made public merely because you submitted them. Removing submitted content ends prospective public use within a reasonable operational period, except for copies legitimately retained for backups, existing receipts, security, legal requirements or disputes. We cannot erase copies already lawfully obtained by others or require removal of independently sourced facts that we may lawfully retain.
8. Privacy, communications and security
Our Privacy Policy, available at /privacy on the Rooted website where you use these tools, explains Rooted’s handling of personal information. This agreement is not consent to undisclosed collection, marketing messages, sale of personal data or unrelated data sharing. We may send account, verification, security, legal and service communications needed for your relationship with Rooted. Marketing requires its own applicable consent and unsubscribe process.
Use personal information available through authorized tools only for the purpose for which it was supplied and in accordance with privacy and communications laws. Do not harvest contact lists, sell participant information, send unrelated bulk messages or expose private applications, review evidence or account information. Report an access or disclosure problem promptly and cooperate reasonably in containing it.
Consumer Saved items remain device-local under the present app design. Signing this business agreement does not authorize Rooted to sync those items, introduce analytics or AI processing, or change native location permissions. Future functionality and privacy changes require accurate notice and any consent required by law.
9. Fees, trials and separate purchases
Accepting this agreement does not itself authorize a charge, a recurring payment or conversion from a free business trial. A paid business service requires separate disclosed pricing, billing interval, renewal and cancellation terms and affirmative purchase authorization. Applicable taxes and material fees must be disclosed before that authorization. Existing paid rights are governed by the purchase terms that actually apply; this agreement does not retrospectively change them.
Where Rooted grants the existing introductory business trial, it lasts three calendar months from the first approved management grant for that business, subject to the recorded eligibility and any expressly granted extension. Importing a public listing does not start a trial. New administrators and replacement accounts do not restart it. Trial or subscription expiry does not, by itself, delete the public listing; ordinary accuracy, safety, rights and publication rules still apply.
An iOS consumer subscription is separate from business onboarding and claims. This business agreement does not change Apple’s purchase terms, approve new subscription prices, authorize Apple charges or cancel an Apple subscription. No consumer subscription is required merely to request business management access through the website.
10. Prohibited conduct
Do not use Rooted for fraud, unlawful sales, deceptive advertising, threats, harassment, discrimination prohibited by law, malicious software, account intrusion, credential abuse or infringement. Do not bypass authorization, rate limits or security controls; falsify requests or receipts; manipulate placement or reviews; or use another person’s private data without permission. Do not conduct automated bulk extraction, republish protected material or resell access without permission or a legal right to do so.
These restrictions do not prohibit honest criticism, protected reviews, lawful reporting to regulators, participation in investigations, legally protected disclosures or security research that the law protects. Nothing requires you to transfer rights in an honest review to Rooted or pay a penalty merely for expressing a lawful negative opinion.
11. Corrections, complaints and moderation
Send corrections, rights complaints and safety or access reports to an.rooted@proton.me. Identify the listing or material, the concern and supporting information you may lawfully share. For an intellectual-property complaint, identify your rights, the specific material and location, your contact details and the factual basis for the complaint. Do not send unnecessary sensitive records. We may seek verification, preserve relevant records, notify affected parties where appropriate and restrict disputed material during review.
We may reject, limit or remove content or access reasonably necessary to address legal duties, fraud, security, safety, rights violations or material breaches. When practicable, we will provide the reason and a way to request reconsideration. Urgent action may occur first when notice would increase risk or compromise an investigation. Moderation is not a promise to detect every problem, and we will not treat a truthful criticism alone as a breach.
12. Service availability and external services
Schedules, prices and offerings can change after verification. Check material details with the relevant business before travel, payment or a product decision. Maps and directions are estimates, not a guarantee of a safe route or lawful access. External websites, shops, mapping tools and payment providers have their own terms and privacy practices. Use them only after considering those terms.
We use reasonable care in providing the service but do not promise uninterrupted operation, perfect accuracy, fixed ranking, a minimum audience, sales, acceptance into a market or success in a claim. Features may be temporarily unavailable or changed for maintenance, security or operational reasons. Keep your own copies of business records; Rooted is not your sole records archive. Rights expressly promised in a separate paid order and rights supplied by law remain applicable.
13. Ending access and preserving records
You may stop using the service and request account closure or help withdrawing owner-managed public buying options through available controls or support. We may suspend or end access for a material breach or the grounds in section 11, with reasonable notice and an opportunity to address a remediable problem when practicable. We may discontinue a service with reasonable advance notice, except where urgent circumstances prevent it, and honor any applicable paid-service refund or other legal duties.
Ending management access does not transfer ownership of the business, cancel a separate sale or market contract, cancel an Apple subscription, erase an immutable acceptance receipt, or necessarily remove a factually accurate public directory record. Account deletion and personal-data requests are handled under applicable law and the Privacy Policy, with proportionate identity checks and justified retention for legal, security and dispute purposes. A retained record does not grant ongoing account access.
14. Warranties and limits on remedies
Apart from express commitments in this agreement, a separate applicable purchase or mandatory law, Rooted does not give a business a warranty that the service will fit every purpose, operate without interruption, or establish the quality or legal compliance of another business’s goods. Any exclusion of an implied warranty operates only where that particular exclusion is legally permitted. Nothing here excludes a statutory guarantee that cannot lawfully be excluded.
For ordinary commercial loss arising from the service, and only where the law permits this allocation between the parties, Rooted’s aggregate monetary liability is limited to the greater of US$100 or the fees you paid Rooted for the affected service in the 12 months before the event giving rise to the claim. In those same circumstances, neither party is responsible to the other for lost prospective profits, lost business opportunities or indirect commercial losses that were not reasonably foreseeable when this agreement was made.
Those limits do not cover fraud, intentional misconduct, gross negligence, personal injury or death caused by the liable party’s conduct, liabilities that the law prohibits limiting, statutory remedies that cannot be waived, or an express refund obligation. They do not reduce a party’s obligation to pay an agreed charge or a producer’s duties to its own customers. A listing or click does not release Rooted from all claims, make a third party your exclusive legal remedy, or require anyone to assume risks created by Rooted’s own unlawful conduct.
15. Business responsibility for third-party claims
If a third party brings a claim against Rooted directly caused by your unlawful products or operations, your infringement in submitted material, your fraudulent authority claim or your deliberate or materially negligent misuse of private information, your business will reimburse Rooted for reasonable, documented defense costs and damages finally awarded or included in a settlement you approve, in proportion to your responsibility. This obligation does not shift responsibility for Rooted’s own negligence, misconduct, breach or independent legal duties to you.
Rooted must notify you promptly enough to avoid material prejudice, reasonably cooperate at its expense beyond ordinary assistance, and allow your business to control the defense using reasonably acceptable counsel. Rooted may participate with separate counsel at its own cost. You may not agree to a settlement that admits wrongdoing by Rooted, imposes a nonmonetary obligation on Rooted or leaves Rooted without an appropriate release unless Rooted agrees. Rooted may not charge you for a settlement reached without your approval, which must not be unreasonably withheld. This section concerns third-party claims; it does not impose a penalty for an ordinary complaint or honest review.
16. Disputes and governing law
Massachusetts law governs this agreement, together with applicable United States federal law. A choice-of-law rule cannot deprive a person of a protection that the law requires to apply to their situation. A court with the necessary subject-matter and personal jurisdiction in Massachusetts may hear a dispute, unless mandatory law gives a party another available forum. Either party may use a competent small-claims court where legally available.
Before filing an ordinary business dispute, the parties should try in good faith to resolve it by written notice explaining the issue and requested solution. Contact Rooted at an.rooted@proton.me. This request does not bar urgent protective relief, a regulator report, a legally required demand, or filing necessary to preserve a limitation period. It does not shorten a statutory deadline, waive Massachusetts Chapter 93A rights or add a prerequisite that the law forbids.
This version contains no mandatory arbitration requirement, class-action waiver or jury-trial waiver. Each party retains its available legal remedies and the right to consult its own adviser.
17. Version changes and notices
We will identify a revised version and its effective date and provide reasonable advance notice of material changes when practicable. Material new business obligations require affirmative acceptance through the identified version before they apply to continued management use. We will not silently replace the text of an acceptance receipt or apply a new liability or dispute term to an already accrued claim. If you do not accept a required new version, you may stop using the affected management service; existing paid-service and legal rights remain enforceable.
We may send operational and legal notices to your account email or through a reasonably accessible account notice. Keep that email current. Notices to Rooted should be sent to an.rooted@proton.me; this email procedure does not replace a legally required method of service. If a particular law requires paper or other delivery, the parties must use that method. You may save or print the agreement before accepting and request a copy of the recorded version through support.
18. Electronic records and authority
The acceptance control states that you agree to this version for the identified business and separately confirm your authority. The service may retain the exact version, your authenticated account and business reference, the server timestamp and the acceptance or workflow record needed to demonstrate the action. These records do not establish facts outside the acceptance itself or eliminate defenses available under law.
Business acceptance is distinct from acceptance of a market’s participation terms, a product order, a paid-service purchase or a marketing preference. If you cannot access or retain the terms electronically, do not accept through that flow; contact support for assistance before committing.
19. Transfers and general provisions
You may not transfer an account or business management rights merely by selling credentials or assigning this agreement. A genuine business ownership change may be processed through reviewed authority verification. Rooted may transfer its service and this agreement to a successor that assumes the obligations, with advance notice identifying the successor and effective date where practicable and any fresh consent required by law. A transfer will not retrospectively release Aymen Norain from liabilities already accrued or reduce rights that cannot lawfully be transferred or waived.
This agreement and any expressly accepted applicable purchase or participation terms describe the relevant agreement; an unrelated marketing statement does not silently amend it. Specific paid-service terms govern an actual purchase conflict, and a market’s terms govern that separate participation relationship, without overriding mandatory law or granting Rooted account authority. No partnership, employment, agency, franchise or joint venture is created.
If a provision is unenforceable, the court should leave the remaining provisions effective to the extent possible without defeating the agreement’s essential purpose. No delayed enforcement permanently waives a right. Provisions concerning accrued payments, retained records, content already lawfully used, responsibility for existing claims and dispute handling survive ending the relationship only as needed for those purposes. No third party gains an enforcement right unless mandatory law or a separately signed agreement expressly provides one.
